Snoozle – Odoo Implementation Services Agreement
- This agreement outlines the standard terms and conditions for Odoo-related implementation, configuration, and consulting services provided by Snoozle Social Media LLC (“Provider”) to the Client (“Client”).
- 1. Services Scope
- Snoozle provides implementation and configuration services for the Odoo platform, including but not limited to: setup, data imports, module configuration, system personalization, and strategic consulting. Licenses for the Odoo software may be resold by Snoozle or purchased directly by the Client. Service delivery may be packaged (fixed hours) or billed on an hourly basis, depending on the selected plan.
- 2. Fees & Payment
All services are billed in full and in advance, unless otherwise agreed in writing.
For automation-related services, a minimum three-month contract applies.
Invoices are issued via Odoo, and payment can be made via credit/debit card, PayPal, or bank transfer.
Services will not commence until payment is received in full unless stated otherwise.
- 3. Scheduling & Client Responsibilities
Snoozle schedules implementation work in coordination with the Client.
Client must provide timely access to relevant platforms, logins, and information needed to complete the work.
A delay in client response exceeding 5 business days may result in service suspension or cancellation without refund.
- 4. Cancellations & Refunds
Once implementation has started, no refunds will be issued.
If cancellation occurs after payment but prior to project kickoff, the Client may request partial credit for future services, subject to Snoozle's review.
Services paused or delayed due to Client inaction may be forfeited after 30 days without notice.
- 5. Compliance
- All services are delivered in accordance with U.S. commercial practices and respect applicable data and platform policies. Client agrees not to hold Snoozle liable for third-party platform limitations (e.g., Odoo features or API changes).
- 6. Liability
- Snoozle commits to delivering services in a professional and commercially reasonable manner. However, the Provider does not guarantee specific business results or platform performance, nor will it be held responsible for indirect or consequential damages arising from the use of Odoo or its integration.
- 7. Jurisdiction
- This agreement shall be governed by and construed under the laws of the State of Texas, and any disputes shall be subject to the exclusive jurisdiction of the courts located in Texas.
- 8. Acceptance
- By accepting a proposal or submitting payment, the Client agrees to these terms in full.
